SEBON forms 7-member task force for primary market reforms

KATHMANDU: The Securities Board of Nepal (SEBON) has formed a seven-member “Primary Market Reform Facilitation Task Force” to make the primary market more transparent, systematic, and investor-friendly.

The task force is coordinated by the Executive Director of SEBON’s Regulation Department. Its members include three SEBON officials, a representative from the Nepal Stock Exchange (NEPSE), the President of the Merchant Bankers Association of Nepal, and the Coordinator of the Capital Market Committee under the Federation of Nepalese Chambers of Commerce and Industry (FNCCI).

According to SEBON, the committee can invite experts from relevant stakeholder bodies—such as the Institute of Chartered Accountants of Nepal (ICAN), the Electricity Regulatory Commission, the Independent Power Producers’ Association, Nepal (IPPAN), the Stock Broker Association of Nepal, and CDS and Clearing Limited—as per requirement.

Formed to implement regulatory reform agendas under the Capital Market Policy for the fiscal year 2026/27, the task force held its first meeting on August 4.

The task force will conduct studies and offer recommendations on key areas, including the IPO issuance process, book building, the role of merchant bankers, the IPO allotment system, digital IPOs, issuance eligibility, pricing mechanisms, institutional and anchor investors, due diligence, and post-issue monitoring.
